POWERLY API TERMS OF USE

Effective Date: March 1, 2025

These API Terms of Use (“Terms”) govern access to and use of the Powerly API (“API”) provided by Powerly London Limited (“Powerly”). By accessing or using the API, you agree to these Terms. If you do not agree, you must not use the API.

1. Definitions

1.1 “API” refers to the Powerly application programming interface, related documentation, and services.

1.2 “Developer” or “You” refers to the individual or entity using the API.

1.3 “API Key” means the unique credential provided by Powerly to access the API.

1.4 “Commercial Use” means using the API for any revenue-generating activity, including but not limited to paid applications, business operations, or resale.

2. API License & Access

2.1 Powerly grants You a limited, non-exclusive, non-transferable, revocable license to access and use the API for approved applications.

2.2 API access requires an API Key, which must be obtained from Powerly’s Developer Portal.

2.3 Restrictions: You may NOT:

Use the API to create a competing EV charging platform.
Share, sell, or sublicense API access.
Attempt to bypass authentication, exceed usage limits, or interfere with API performance.

2.4 Powerly reserves the right to audit usage and revoke access if You violate these Terms.

3. Usage Limits & Fees

3.1 API usage is subject to rate limits specified in Powerly’s documentation.

3.2 Commercial API access requires a paid subscription, and pricing details are available at Developer Portal.

3.3 Unauthorized commercial use of the API may result in suspension and legal action.

4. Data & Privacy

4.1 You may only collect, store, and use API data as permitted by Powerly.

4.2 You must comply with all applicable data privacy laws (e.g., GDPR, CCPA) when handling user data.

4.3 Powerly retains ownership of all data processed through the API.

5. Support & Availability

5.1 Powerly provides support for Enterprise API customers only.

5.2 The API is provided “as-is,” and Powerly does not guarantee 100% uptime.

5.3 Powerly may update or discontinue the API at any time.

6. Termination & Enforcement

6.1 Powerly may suspend or terminate API access if You:

Violate these Terms.
Exceed usage limits or engage in abusive behavior.
Fail to pay for commercial API access.

6.2 Upon termination, You must delete all API data and cease using Powerly’s services.

7. Disclaimer & Limitation of Liability

7.1 The API is provided “as-is” without warranties of any kind.

7.2 Powerly is not liable for damages arising from API use, including loss of business, revenue, or data.

7.3 Powerly’s total liability under these Terms shall not exceed the fees paid by You in the past 12 months.

8. Governing Law & Dispute Resolution

8.1 These Terms are governed by the laws of England and Wales.

8.2 Any disputes shall be resolved through binding arbitration in London, UK.

9. Changes to These Terms

9.1 Powerly may update these Terms from time to time. Continued use of the API after changes means You accept the updated Terms.

By accessing the API, You acknowledge that You have read and agreed to these Terms.
